Agreement to Terms

Service Engagement
Consultation: All engagements begin with a strategy consultation to assess your needs and determine the appropriate service package.
Proposals: Following consultation, we will provide a detailed proposal outlining scope, timeline, and investment.
Acceptance: Services commence upon your written acceptance of the proposal and payment of any required deposits.
Payment Terms
Fees: Service fees are as specified in your individual proposal or service agreement.
Payment Schedule: A deposit is required to commence work, with remaining payments due according to agreed milestones or monthly billing.
Late Payment: Invoices not paid within 14 days of the due date may incur a late fee of 2% per month.
Refunds: Refund policies are detailed in your individual service agreement. Generally, work completed is non-refundable.
Client Responsibilities
To ensure successful delivery of our services, you agree to:
- Provide accurate and complete information as requested
- Grant necessary access to systems and accounts required for service delivery
- Respond to requests for feedback and approvals in a timely manner
- Ensure all content provided to us is legally owned or properly licensed
- Comply with all applicable laws and regulations in your use of our services
Intellectual Property
Our Property: The Auxilium Sales Tech name, logo, website content, methodologies, and proprietary tools remain our exclusive property.
Your Property: You retain ownership of your data, brand assets, and business information provided to us.
Work Product: Custom work created specifically for you becomes your property upon full payment, unless otherwise specified in your service agreement.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive business information shared during the engagement. This obligation survives the termination of any service agreement. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.
Limitation of Liability
Results: While we strive to deliver excellent results, we cannot guarantee specific business outcomes. Marketing and sales results depend on many factors beyond our control.
Maximum Liability: Our total liability for any claims arising from our services shall not exceed the total fees paid by you in the 12 months preceding the claim.
Exclusions: We are not liable for indirect, incidental, special, or consequential damages, including lost profits, business interruption, or data loss.
Termination
By You: You may terminate services with 30 days written notice. You remain responsible for fees for work completed prior to termination.
By Us: We may terminate services for breach of these Terms, non-payment, or other material reasons with 14 days written notice.
Effect: Upon termination, we will provide reasonable assistance in transitioning services and data, subject to payment of outstanding fees.
Indemnification
You agree to indemnify and hold harmless Auxilium Sales Tech, its directors, employees, and agents from any claims, damages, or expenses arising from your breach of these Terms, your use of our services, or your violation of any third-party rights.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
